Capital Markets / Mergers & Acquisitions Associate Attorney

Direct Counsel is seeking a Capital Markets / Mergers & Acquisitions Associate Attorney to join a highly respected Am Law firm in New York, Miami, Dallas, or Washington, D.C. The ideal candidate will have 3–5 years of experience handling a broad range of capital markets transactions and public company advisory matters.

Requirements

• 3–5 years of capital markets and securities experience at a large regional, national, or international law firm
• Experience representing issuers in public and private offerings of debt and equity securities
• Experience advising public companies on SEC reporting, disclosure, and corporate governance matters
• Familiarity with Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements
• Experience interfacing with the SEC and other regulatory authorities
• Public and private M&A experience is a strong plus
• Strong interpersonal, communication, and client management skills
• Excellent academic credentials
• Admission to practice in the applicable office jurisdiction or eligibility to become licensed
